 Partner Terms & Conditions

TERMS AND CONDITIONS

Contract for Partnership: The signed agreement and subsequent notice of assignment constitute a contract between Association of Lutheran Development Executives (ALDE) and the Partner. Any point not specifically covered in these terms is subject to the decision of ALDE, whose decision shall be final.

Assignments/Allocations: Assignments will be made based on the date the agreement is received, as well as the selection and the location specifications supplied by the organization. Location specifications include proximity to other organizations. Priority of selection is given to organizations that have partnered with ALDE in previous years. It is the organization’s responsibility to know its proximity to competing organizations.

Cancellations: Partners have the right to cancel this agreement at any time by written notice to ALDE. Partners canceling all or part of contract on or before October 1, 2007 will receive a refund of payments made, less a nonrefundable administrative fee of $100. Partners canceling all or part of contract between October 1, 2007 and December 14, 2007, shall be eligible for a refund of payments made up to 50% of total fees of the cancelled partner program. No refunds shall be issued for cancellations received after December 14, 2007. Under all circumstances, ALDE reserves the right to resell the partner program cancelled by the partner.

Exhibit Booth: ALDE will provide the following: a 8' x 10' standard booth, an identification sign listing company name, and 8' high backdrape and 36" high draped side walls, carpeting, two chairs, one wastebasket, and two full  registrations per 8' x 10' space  rented.

Use of Space: In keeping with the educational purpose of the International Conference program, products and services may not be sold for delivery on the show floor or other related conference areas during the International Conference. No partner is permitted to promote products, equipment or services other than its own. If an article of nonexhibiting firm or business is required for the operation or display of a partner’s wares, identification of such an article shall be limited to the usual and regular nameplates, imprinting, or trademarks under which the article is sold in the regular course of business. No subletting or sharing of space is permitted.

Use of Logo: The ALDE conference logo is the only logo that ALDE gives partners permission to use. Requests for conference logo use must be submitted in writing to the ALDE office with a sample of the piece for approval. The Association logo may not be used for any marketing or other purposes.

Responsibility: If a partner fails to comply in any respect with the terms of this agreement, ALDE will have the right, without notice to the partner, to offer said space or sponsorship to another partner, and/or to use said space in any manner. This will not be construed as affecting the responsibility of the partner to pay the full amount specified by the contract.

Facility: Partners shall not deface any part of the hotel facility. The cost of repairing any damage to the hotel caused by the partner, its employees, representatives, or agents will be billed to and paid by the partner. Nothing can be tacked, taped, nailed, screwed, or otherwise posted to the walls, floors, ceilings, furniture, or other property of the facilities. All setup and dismantling of exhibit booths and sponsorship programs must be conducted within the assigned space within the appropriate times assigned. No storage of exhibit materials will be permitted between or behind booth draping.

Compliance: The partner assumes all responsibility for compliance with all pertinent ordinances, regulations, and codes of duly authorized local, county, state, and/or federal government bodies concerning fire, safety, and health together with the rules and regulations of the operator/owners/managers of the property where the show is being held. Government, state, county, municipal, and/or local laws must be strictly observed as aforementioned but not limited to liability and insurance. The partner is responsible for any claims arising out of its own negligence, or out of the negligence of its  employees, representatives or agents. The partner shall be responsible for protecting its own property to its full value, either through purchased insurance or self-insurance. ALDE will not assume liability for any loss or damage to partner property. In holding the ALDE International Conference, ALDE does not act as agent of the partner, the facility, the general service contractor, or any other party. Claims against any party other than ALDE are to be submitted directly to the party involved. In the event the International Conference is cancelled, or the sponsored project is cancelled, or the partner does not participate due to circumstances within the control of ALDE, the liability of ALDE shall be limited to a refund of all monies paid by the partner as exhibit booth rental, registration fees, and sponsorship or advertising fees.

ADA: Each partner is charged with knowledge of all laws, ordinances, and regulations pertaining to the Americans with Disabilities Act (ADA). Compliance with ADA is mandatory for all partners and the sole responsibility is that of the partner so far as ADA relates to the partner’s space regardless of whether the conference takes place within the US or not. ALDE and service contractors have no responsibility pertaining to the compliance with laws as far as individual partner’s space, materials, and operation is concerned. The hotel shall be responsible for those readily achievable, nonpermanent accessibility requirements of the ADA which are applicable to ALDE if not otherwise provided by the hotel. The partner agrees it will comply with any provisions of the ADA which are applicable to the partner’s space.

Interpretation: ALDE reserves the right to interpret, amend, and enforce these terms as it deems proper to ensure the success of the ALDE Partner Program. ALDE makes every effort to ensure that the exhibit area is in keeping with the educational nature of the International Conference. The fact that products and services are on display at ALDE’s International Conference does not constitute, nor should it imply, an endorsement by ALDE. Exhibitors may not claim or suggest ALDE endorsement of their products or services without specific, written agreement with ALDE. Compliance with the ALDE terms and conditions is mandatory for all exhibitors and the sole responsibility is that of the exhibitor.
